These Terms of Service ("Terms") govern your access to and use of MerchWise ("MerchWise", "we", "us"), a tool that helps merchants optimize product listings and publish them to connected sales channels. By creating an account or using MerchWise, you agree to these Terms. If you don't agree, don't use the service.
MerchWise reads your product catalog from the store(s) you connect, generates and enhances listing content (titles, descriptions, SEO, images) using AI, and — when you choose — publishes that content back to your store. You control what is generated and what is published.
You are responsible for your account credentials and for all activity under your account. Keep your login secure and notify us of any unauthorized use. You must provide accurate information and be authorized to connect and modify the stores you link.
MerchWise uses artificial intelligence to suggest listing content. AI output can be inaccurate, incomplete, or unsuitable. You are responsible for reviewing and approving all AI-generated content before you publish it. You are solely responsible for what you publish to your store, including its accuracy, any product claims, and its compliance with applicable laws and third-party rights (including trademarks, copyrights, and advertising rules). MerchWise does not guarantee that generated content is accurate, original, non-infringing, or fit for any particular purpose, and is not liable for content you choose to publish.
As between you and MerchWise, you own your product data and the content you publish. You grant us the limited license needed to process that data to provide the service (including sending it to our AI providers to generate output). Subject to these Terms, the content generated for you is yours to use for your business. You represent that you have the rights to the data you provide us and to publish the content you publish.
When you connect a store, you authorize MerchWise to access and update it on your behalf, within the permissions you grant. You can disconnect at any time; on disconnect or account closure we revoke the stored access and delete or de-identify the associated data, as described in our Privacy Policy.
Don't use MerchWise to create or publish content that is illegal, infringing, deceptive, or harmful; don't attempt to disrupt, reverse-engineer, or gain unauthorized access to the service; and don't use it to violate any platform's rules or applicable law.
Some features may be offered free and others for a fee. Where fees apply, they will be disclosed to you before you incur them, and are governed by the plan or order you accept. Taxes are your responsibility where applicable.
MerchWise relies on third parties (including AI providers and the commerce platforms you connect). Your use of those services is subject to their terms, and we are not responsible for their acts, omissions, or availability.
MerchWise is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty regarding AI output or uninterrupted or error-free operation, to the fullest extent permitted by law.
To the fullest extent permitted by law, MerchWise will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim relating to the service will not exceed the greater of the amount you paid us for the service in the three (3) months before the claim, or one hundred US dollars ($100).
You will defend and indemnify MerchWise against claims arising from your content, your use of the service, your violation of these Terms, or your violation of any law or third-party right.
You may stop using MerchWise and close your account at any time. We may suspend or terminate access if you violate these Terms or to protect the service or other users. Provisions that by their nature should survive (ownership, disclaimers, liability limits, indemnification) survive termination.
We may update these Terms as the service evolves. We'll post the updated version here and update the date above; continued use after changes means you accept them.
These Terms are governed by the laws of the Commonwealth of Virginia, USA, without regard to conflict-of-laws rules, and you agree to the exclusive jurisdiction of the courts located there, except where applicable law provides otherwise.
